ARRAS GROUP: APPOINTMENT BY CO-OPTATION OF A NEW INDEPENDENT BOARD MEMBER

Milan, 4 th September 2024 – Arras Group S.p.A. ("Arras Group" or the "Company"), a technological company for the real estate development of second homes mainly in Sardinia, listed on the professional segment of Euronext Growth Milan, announces that the Board of Directors, which met today, with the approval of the Board of Statutory Auditors, resolved on the appointment by cooptation, pursuant to Article 2386, paragraph 1, of the Italian Civil Code and Article 22, paragraph 15, of the Articles of Association, of Dott. Fabio Sagnelli, as member of the Company's Board of Directors.

Dott. Fabio Sagnelli, born in Naples on 8 June 1964, graduated in Computer Science in 1989, has been registered with the Milan Chamber of Commerce as an Expertsince 1993 and received an MBA in 2000. He has held key roles in various companies, projects and asset management activities, including CIO of an Italian fashion multinational and CEO of a real estate development company. He is currently Lead Solution Engineering at Soldo Ltd.

The appointment took place following the resignation dated 27 June 2024, with immediate effect, of Dott. Mario Benito Mazzoleni for reasons attributable to the incompatibility of the required activities with his personal and professional availability.

Taking note of the declarations made and the documentation presented by the new director, the Board of Directors, during the same meeting, verified that Mr. Fabio Sagnelli satisfied the requirements prescribed by the applicable regulations, the Euronext Growth Milan Issuers' Regulation and art. 18.2 of the Company's Articles of Association, for assuming the office. Dott. Fabio Sagnelli will remain in office until the Company's next Shareholders' Meeting. Therefore, the Board of Directors of the Company is today composed of the following members:

• Enrico Arras, Chairman and Chief Executive Officer;
• Flavio Rebellato, Director;
