RESIGNATION OF THE INDEPENDENT BOARD MEMBER MARIO BENITO MAZZOLENI

Milan, 28 June 2024 – Arras Group S.p.A. ("Arras Group" or the "Company"), a technological company for the real estate development of second homes mainly in Sardinia, listed on the professional segment of Euronext Growth Milan, announces that on 27 June 2024 the independent director Dr. Mario Benito Mazzoleni resigned irrevocably due to the irreconcilability of the required activities with his personal and professional availability.

The effectiveness of the resignation, pursuant to Article 2385 of the Italian Civil Code, is subject to the appointment of a new independent director to replace him by the Board of Directors. The Board of Directors announces that it has already started the selection process to identify a suitable profile to fill the position of independent director.

At present, according to company records, the resigning director does not hold a stake in the company's capital and is not entitled to any indemnity or other benefits as a consequence of leaving office.

In expressing thanks to Dr. Mazzoleni for his activities to the Company to date, it is hereby notified that the Board of Directors will take the necessary resolutions for the integration of the same, in application of the provisions of the law and the Articles of Statute, at the first useful meeting, informing the market accordingly.
