ORDINARY SHAREHOLDERS' MEETING OF ARRAS GROUP

BDO Italia S.p.A. re-appointed as Auditing Firm

Sandro Boi appointed Alternate Auditor

Milan, 9 th August 2024 – The Shareholders' Meeting of Arras Group S.p.A. ("Arras Group" or the "Company"), a technological company for the real estate development of second homes mainly in Sardinia, listed on the professional segment of Euronext Growth Milan, held today in ordinary session, resolved as follows on the items on the agenda.

Appointment of the Auditing Firm

On the reasoned proposal of the Board of Statutory Auditors, the Shareholders' Meeting approved the appointment of BDO Italia S.p.A., reappointing it, to audit the accountsfor the three-year period 2024-2026, i.e. until the date of the Shareholders' Meeting approving the financial statements as at 31 December 2026.

Appointment of Alternate Auditor

The Shareholders' Meeting accepted the appointment as Alternate Auditor of Dott. Sandro Boi, presented by the Chairman of the Board of Directors Enrico Arras, in accordance with the Company's Articles of Association for the presentation of candidates for this role.

Pursuant to Article 2401 of the Italian Civil Code, the Shareholders' Meeting proceeded to the integration of the Board of Statutory Auditors, which is thus composed:

• Dott. Enrico Pastorino, Chairman of the Board of Auditors;
• Dott.ssa Franca Battilana, Standing Auditor;
• Dott. Simone Melis, Standing Auditor;
• Dott. Giovanni Palma, Alternate Auditor;
• Dott. Sandro Boi, Alternate Auditor.
