Substitution of Aroundtown SA for TLG IMMOBILIEN AG as Issuer

The following senior notes (Inhaberschuldverschreibungen) (hereinafter "Notes") have been issued by TLG IMMOBILIEN AG (hereinafter "TLG"):

With effect from 1 August 2020, TLG has transferred all of its rights and obligations under the Notes to Aroundtown SA, Luxembourg ("Aroundtown"), and Aroundtown has assumed all of these rights and obligations. The substitution of TLG by Aroundtown as Issuer under the Notes is based on § 12 of the respective terms and conditions of the Notes. In this context, TLG has assumed in favour of the respective holders of Notes (the "Holders") the unconditional and irrevocable guarantee for the fulfilment of all of Aroundtown's obligations arising from or in connection with the Notes. Any Holder of the Notes may invoke this guarantee against TLG.

As of 1 August 2020, Aroundtown will therefore be the Issuer and TLG will be the Guarantor of the Notes.

The function of paying and calculation agent will remain with Deutsche Bank Aktiengesellschaft, Taunusanlage 12, 60325 Frankfurt am Main, Germany for Notes with ISIN XS2010044464 and with Citibank, N.A. London Branch, Citigroup Centre, Canada Square, Canary Wharf, London E145LB, United Kingdom for Notes with ISIN XS1843435501 and Notes with ISIN XS1713475215. Copies of the documents relating to the substitution as referenced in the terms and conditions may be obtained by Holders, upon reasonable request, at the registered office of the relevant paying and calculation agent during normal office hours.
