| 4. Aprobă mandatarea Consiliului de Administrație, respectiv a Preşedintelui Consiliului de Administraţie cu puteri depline şi nelimitate de a: (i) iniţia şi derula orice licitaţie sau altă procedură pentru identificarea unor potenţiali cumpărători pentru Imobile; (ii) negocia, agrea şi decide în numele şi pe seama Societăţii termenii pre-cum şi orice alte condiţii ale vânzării Imobilelor, în tot sau în parte, simultan sau succesiv, către unul sau mai mulţi cumpărători, inclusiv preţul de vânzare [cu respectarea preţului total de minim 5.000.000 EUR (în echivalent LEI)] al Imobilelor şi modalitatea în care acesta va fi plătit de cumpărător/i; (ii) semna, preda şi executa, în numele şi pe seama Societăţii, în formă autentică şi în faţa notarului public competent, orice promisiune de vânzare, antecontract şi/sau contract de vânzare cumpărare pentru vânzarea Imobilelor, în tot sau în parte, simultan sau succesiv, către unul sau mai mulţi cumpărători, precum şi orice alte notificări prealabile, înscrisuri, acte sau documente necesare sau utile pentru |
4. Approves the empowerment of the Board of Directors, respectively of the Chairman of the Board of Directors with full and unlimited powers to: (i) initiate and carry out any tender or other procedure for the identification of potential buyers for the Property; (ii) negotiate, agree and decide in the name and on behalf of the Company the terms and conditions of the sale of the Property, in whole or in part, simultaneously or successively, to one or more buyers, including the sale price [by observing the minimum total price of at least EUR 5,000,000 (in LEI equivalent)] of the Property and the way it will be paid by the buyer(s); (ii) sign, hand over and execute, in the name and on behalf of the Company, in authentic form and before the competent public notary, any promise of sale, pre-sale agreement and / or purchase sale agreement for the sale of the Property, in whole or in part, simultaneously or successively, to one or more buyers, as well as any other prior notice, deeds, documents or forms necessary or useful for the valid conclusion and execution of the sale agreement of the Property; (iv) to take, undertake and execute, in the name and on behalf of the Company, any decision necessary for the division of the Property in view of its partial sale thereof and to sign, hand over and execute, in the name and on |
| încheierea valabilă şi executarea vânzării Imobilelor (iv) lua, întreprinde şi îndeplini, în numele şi pe seama Societăţii, orice decizii necesare privind dezmembrarea Imobilelor în vederea unei vânzări parţiale a acestora, precum şi de a semna, preda şi executa, în numele şi pe seama Societăţii, orice documente, declaraţii, măsurători, planuri şi dosare cadastrale, acte pentru biroul de cadastru şi publicitate imobiliară, şi în general de a reprezenta Societatea în faţa tuturor persoanelor şi autorităţilor publice şi private, inclusiv birourilor de cadastru şi publicitate imobiliară competente, notarilor publici şi altor oficialităţi, în vederea şi cu scopul îndeplinirii tuturor cerinţelor şi formalităţilor cerute de legea română pentru dezmembrarea Imobilelor; (v) folosi sumele obţinute din vânzarea Imobilelor pentru plata datoriilor Societăţii, respectiv a împrumutului acordat de către acţionarul Herz Armaturen Ges.m.b.H. şi a oricăror alte arierate ale Societăţii. |
