Sub: Disclosure under Regulations 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“Listing Regulations”)

Dear Sir/Madam,

We refer to the letter dated September 29, 2025, wherein it was intimated that the Board of Directors of Arkade Developers Limited ("hereinafter referred to as the “Resulting Company” or the “Company” or “Arkade”) at their meeting held on September 29, 2025, had inter alia, approved the Scheme of Demerger/ Arrangement between wholly-owned subsidiary of the Company, viz., Filmistan Private Limited (“Demerged Company”/ “First Applicant Company”) and Arkade Developers Limited (“Resulting Company” / “Company” / “Arkade” / “Second Applicant Company”) and their respective shareholders under Sections 230 to232 and other applicable provisions of the Companies Act, 2013 read with relevant rules & regulations framed thereunder (“the Scheme”).

We would like to inform you that the Hon’ble NCLT, Mumbai Bench, vide its order dated 27[th] November, 2025 (uploaded on the website of the Hon’ble NCLT), has inter alia directed:

• Disposed the first motion application and dispensed with the meeting of Equity Shareholders of Filmistan Private Limited as 100% shareholders of the First Applicant Company have given their consent to the sanction of the Scheme:

• Dispensed with the requirement to convene meetings of Equity shareholders and Unsecured creditors of the Arkade Developers Ltd as Second Applicant Company.

The scheme remains subject to applicable regulatory and other approvals.
