Addendum to the Notice of Fortieth (40[th] ) Annual General Meeting of

Arihant Superstructures Limited

Addendum to the Notice of the 40[th] Annual General Meeting (AGM) of the Members of Arihant Superstructures Limited to be held on Saturday, 23[rd] September, 2023 at 11:00 A.M. IST through Video Conferencing/ Other Audio Visual Means (“OAVM).

Notice is hereby given that the following additional Special Business item is included in the aforesaid Notice as Item No. 09. This addendum shall be deemed to be an integral part of the original notice dated 31[st] August, 2023 and the notes provided therein:

SPECIAL BUSINESS

Item No. 09: Appointment of Ms. Namrata Thakker (DIN 08478260) as the Woman Independent Director of the Company for first term of five years.

Notes:

1. The Statement pursuant to Section 102(1) of the Act, in respect of the Special business proposed above to be transacted at the ensuing 40[th] Annual General Meeting, is annexed hereto and forms a part of the Notice.

2. Relevant documents referred to in this addendum to Notice of AGM are available electronically for inspection by the Members on all working days during the normal business upto the date of AGM.

3. This addendum to the Notice of AGM is also available on the website of the Company at www.asl.net.in, website of the Stock Exchanges at www.nseindia.com and www.bseindia.com and website of NSDL at www.evoting.nsdl.com

4. All the processes, notes and instructions relating to attending AGM through VC/OAVM and e-voting set out for and applicable for the ensuing 40[th] AGM shall mutatis-mutandis apply to attending AGM through VC/OAVM and e-voting for the resolution proposed in this Addendum to the Notice of AGM. Furthermore, the Scrutinizers appointed for the ensuing 40[th] AGM will act as Scrutinizers for the Resolution proposed in this Addendum to the Notice of 40[th] AGM.

Ordinary Resolution

“RESOLVED THAT, pursuant to the provisions of Section 149, 150, 152, read with Schedule IV and other applicable provisions of the Companies Act, 2013 and the Companies (Appointment and Qualification of Directors) Rules, 2014, [including any statutory modification(s) or re-enactment(s) thereof for the time being in force] and SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and pursuant to the recommendation of the Nomination and Remuneration Committee, the consent of the Members be and is hereby accorded for the appointment of Ms. Namrata Thakker (DIN: 08478260), as an Woman Independent Director of the Company with effect from 01[st] September, 2023, to hold office for a period of 5 (Five) consecutive Years commencing 01[st] September , 2023 till 31[st] August, 2028.

EXPLANATORY STATEMENT TO THE ANNUAL GENERAL MEETING NOTICE (Under Section 102 of Companies Act, 2013)

The following Statement sets out all material facts relating to the Special Business mentioned in the Notice:

Item No. 09: Appointment of Ms. Namrata Thakker (DIN 08478260) as the Woman Independent Director of the Company for first term of five years

Pursuant to the provisions of Section 149 of the Companies Act, 2013, the Company is required to appoint Independent and Woman Director on the Board of the Company. In compliance with the above provisions, the Board of Directors, upon the recommendation of the Nomination and Remuneration Committee by way of passing the circular resolution on 1[st] September, 2023, had appointed Ms. Namrata Thakker (DIN 08478260) as an Additional Director, in the category of Independent and Woman Director with effect from 01[st] September, 2023 who shall hold office upto the date of the ensuing AGM.

The said appointment is in line with the Nomination & Remuneration Policy of the Company.

The Company has received from Ms. Namrata Thakker (DIN 08478260) (i) consent in writing to act as director in Form DIR 2 pursuant to Rule 8 of Companies (Appointment & Qualification of Directors) Rules, 2014, (ii) intimation in Form DIR 8 in terms of Companies (Appointment & Qualification of Directors) Rules, 2014, to the effect that she is not disqualified under sub-section (2) of Section 164 of the Companies Act, 2013, and (iii) a declaration to the effect that she meets the criteria of independence as provided in sub-section (6) of Section 149 of the Companies Act, 2013.

Ms. Namrata Thakker is a Community builder, who believes in making businesses system and process dependent, with an experience of working in 40 different industries, over 25 years and is a founder of Entrepreneur Excel, a global community connecting over 80,0000 entrepreneurs through various social media platforms; it is recommended for the appointment of Ms. Namrata Thakker as the Woman Independent Director of the Company for a 1st term of 5 (Five) years. The Nomination and Remuneration Committee and the Board of Directors is of the opinion that the appointment of Ms. Namrata Thakker for a 1[st] term shall be beneficial to the interests of the company and its stakeholders.

No Director, Key Managerial Personnel or their relatives, except Ms. Namrata Thakker (DIN 08478260), to whom the resolution relates, is interested or concerned, financially or otherwise in the resolution .

The Board recommends the resolution set forth in Item No. 9 of the accompanying Notice for approval of the members.
