Dear Sir/Madam,

NOTIFICATION PURSUANT TO PARAGRAPH 708A(5)(e) OF THE CORPORATIONS ACT 2001

This notice is given by Ariana Resources plc (ABN 32 681 342 334) (“AA2” or “Company”) (ASX:AA2) pursuant to section 708A(5)(e) of the Corporations Act 2001 (Cth) (Corporations Act).

On 22 May 2026 the Company issued 3,466,666 Chess Depositary Interests (CDIs) in the capital of the Company at an issue price of $0.30 per CDI.

The Company hereby gives notice that:

(a) The CDIs are part of the class of Chess Depositary Interests quoted on the ASX;
(b) The Company issued the CDIs without disclosure to investors under Part 6D.2 of the Corporations Act, in reliance on section 708 and that notification is being given under Section 708A(5)(e) of the Corporations Act;
(c) As at the date of this notice, the Company has complied with the provisions of Chapter 2M of the Corporations Act as they apply to the Company, and section 674 and 674A of the Corporations Act; and
(d) As at the date of this notice, there is no information to be disclosed which is “excluded information” within the meanings of section 708A(7) and 708A(8) of the Corporations Act that is reasonable for investors and their professional advisers to expect to find in a disclosure document.
