FACEDRIVE INC. NOTICE OF CHANGE OF AUDITORS

TO: NVS PROFESSIONAL CORPORATION

AND TO: DELOITTE LLP

Facedrive Inc. (the “ Company ”) hereby gives notice pursuant to Section 4.11 of National Instrument 51102 – Continuous Disclosure Obligations (“ NI 51-102 ”) of the termination of NVS Professional Corporation (“ NVS ”) as the auditor of the Company and the appointment of Deloitte LLP (“ Deloitte ”) in its place. The Company confirms that:

• (a) The Audit Committee (“ AC ”) of Facedrive Inc. (the “ Corporation ”) has conducted a review process for external audit services;

• (b) after careful review of the information received and due consideration of all relevant factors, the AC recommended to the Board of Directors that Deloitte be appointed as the Company’s auditor for the Company’s financial year ending on December 31, 2021;

• (c) effective July 15, 2021 (the “ Effective Date ”), NVS, at the request of the Company, has resigned as auditors of the Company and Deloitte has been appointed as auditors of the Company to fill the vacancy until the next annual meeting of shareholders of the Company;

• (d) the resignation of NVS and the appointment of Deloitte in their place have been approved by the Board of the Corporation;

• (e) there have been no reservations or modified opinions contained in the former auditors’ reports on any of the financial statements of the Corporation for the period commencing at the beginning of the Company’s two most recently completed financial years; and

• (f) there are no reportable events (as defined in section 4.11 (7) (e) of 51- 102) in connection with the audits for the period commencing at the beginning of the Company’s two most recently completed financial years.
