As part of the annual governance review by the Ares Capital Corporation (“Ares Capital”) board of directors in 2017, the board of directors will discuss the restrictions in Ares Capital’s Articles of Amendment and Restatement on the ability of stockholders to amend Ares Capital’s Second Amended and Restated Bylaws. This review is in response to recently updated voting guidelines issued by a proxy advisory firm.
