NOTICE UNDER PARAGRAPHS 708A(5)(e) AND 1012DA(5)(e) OF THE CORPORATIONS ACT 2001 (CTH)

This notice is given by Arena REIT (comprising Arena REIT Management Limited ACN 600 069 761 ( RE ) as responsible entity of Arena REIT No 1 ARSN 106 891 641 ( ARF1 ) and Arena REIT No 2 ARSN 101 067 878 ( ARF2 ) and Arena REIT Limited ACN 602 365 186 ( Company )) under paragraphs 708A(5)(e) and 1012DA(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ).

On 10 March 2015, Arena REIT issued 15,625,000 fully paid ordinary stapled securities ( Placement Securities ) to institutional and professional investors under a placement, the results of which were announced to the ASX on 26 February 2015. The Placement Securities each consisted of a share in the Company, a unit in ARF1 and unit in ARF2.

Arena REIT advises that:

  • (a) the Placement Securities were offered for issue without disclosure to investors under Part 6D.2 of the Corporations Act and without a Product Disclosure Statement for the Placement Securities being prepared;

  • (b) this notice is being given under paragraphs 708A(5)(e) and 1012DA(5)(e) of the Corporations Act;

  • (c) as a disclosing entity, RE, as the issuer of units in ARF1 and ARF2, being component securities of each of the Placement Securities, is subject to regular reporting and disclosure obligations;

  • (d)

  • as at the date of this notice, each of the Company and RE has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company, ARF1 and ARF2 respectively; and

  • (ii) section 674 of the Corporations Act as it applies to the Company, ARF1 and ARF2 respectively; and
