Archer Limited: Share capital increase - vesting of restricted stock units

Hamilton, Bermuda (October 15, 2025)

In connection with Archer's long term incentive program 109,264 restricted stock

units ("RSUs") have vested.  In connection with the vesting of RSUs, Archer

Limited has issued 109,264 common shares, of which 79.200 common shares have

been distributed to Archer employees.  30.064 shares will be held in treasury by

Archer Limited, pending delivery to the remaining awardees under the program.

Adam Todd, the General Counsel in the Company, received 6,800 shares. Please see

the attached PDMR-form for further details.

Following registration of the new share capital, the Company's issued share

capital is USD 994,953.98 divided into 99,495,398 common shares, each with a

nominal value of USD 0.01.
