Item 8.01 Other Events.

On February 11, 2010, Archer-Daniels-Midland Company announced that it had commenced a cash tender offer for up to $400 million aggregate principal amount of its outstanding 6.45% Debentures due January 15, 2038; 7% Debentures due February 1, 2031; 7.5% Debentures due March 15, 2027; 6.625% Debentures due May 1, 2029; 6.75% Debentures due December 15, 2027; and 8.375% Debentures due April 15, 2017. A copy of a press release dated February 11, 2010 related to the tender offer is filed with this Current Report as Exhibit 99.1.
