CHANGES TO ORGANISATIONAL STRUCTURE AND CORPORATE ADDRESS

The Directors of Australian Rural Capital Limited ( ARC, the Company ) wish to announce the following changes to the Company’s organisational structure effective today. These changes reflect the transition of the Company’s location from its prior base in Sydney to Brisbane, Queensland.

Prospective Directorship Changes

Wayne Massey, currently a non-executive Director of ARC, will become an Executive Director effective today, responsible for the Company’s financial functions.

Wayne has occupied a number of senior finance executive positions in the sugar industry since 1998, including a period as Chief Financial Officer of MSF Sugar Ltd from 2008 to 2012 (ASX listed until 2012). Wayne has experience in mergers and acquisitions, debt management and development of futures and currency capability. He has also held Director positions of unlisted Australian parent and subsidiary companies in the sugar industry in recent years and has been a Director of SMART, an Industry Superannuation Fund.

Andrew Brown, currently an Executive Director, will transition the finance functions to Wayne and will step down from the ARC Board on 31 August 2016. Andrew has ensured that the transition to a new executive team over the past two years has been effected smoothly and he will now focus on his private investment interests. Andrew remains a substantial shareholder in ARC.

Executive Chairman, James Jackson said: “The board wishes to thank Andrew for his significant contribution over the past two years which has enabled the successful transition to ARC and wish him well in his future endeavours”.
