Subject: Results of the voluntary conditional offer for up to 100% of the issued and paid-up ordinary shares of Aramex PJSC

Dear Chairman,

Subsequent to our Offer Document submitted on 10th February 2025, we would like to inform you that Q Logistics Holding LLC, a wholly owned indirect subsidiary of ADQ, has obtained acceptances representing 35.31% of the company's shares. In addition to this, Abu Dhabi Ports Company PJSC (AD Ports Group) owns 22.69% of the company's shares.

The aggregate acceptances, together with the shareholding of AD Ports Group, amounts to 58% of the shares in Aramex which exceeds the minimum acceptance conditions for the Offer specified in Article 9(2) of the SCA’s Board of Directors Decision No. (18 / R.M) of 2017 concerning the Mergers and Acquisition Rules for Public Joint Stock Companies ( Acquisition Regulations ).

Pursuant to Article 32 (2) of the Acquisition Regulations, the Offeror will continue to accept shares from shareholders who did not tender during the Offer Period until 3:00pm (UAE time) on 24th March 2025.

The final total of tendered shares will be announced on 28th March 2025.

ADQ announces results of the voluntary tender offer for Aramex

Shareholders who did not tender during the Offer Period can sell their shares until 24 March 2025, 3:00pm UAE Time

Abu Dhabi, UAE – 11 March 2024: ADQ, an active sovereign investor with a focus on critical infrastructure and global supply chains, has announced the results of the voluntary tender offer (the “Offer”) for Aramex PJSC (“Aramex”) submitted by its wholly-owned indirect subsidiary, Q Logistics Holding LLC (the “Offeror”).

Through the Offer, which closed on 10 March 2025, Q Logistics has obtained acceptances for shares in Aramex, representing 35.31% of the company's shares. In addition to this, Abu Dhabi Ports Company PJSC (AD Ports Group) owns 22.69% of the company's shares.

The aggregate acceptances, together with the shareholding of AD Ports Group, amounts to 58% of the shares in Aramex which exceeds the minimum acceptance conditions for the Offer specified in Article 9(2) of the SCA’s Board of Directors Decision No. (18 / R.M) of 2017 concerning the Mergers and Acquisition Rules for Public Joint Stock Companies ( Acquisition Regulations ).

Subsequent to the closing of the Offer Period, pursuant to Article 32 (2) of the Acquisition Regulations the Offeror will continue to accept shares from shareholders who did not tender during the Offer Period until 3:00pm (UAE time) on 24 March 2025.

The final total of tendered shares will be announced on 28 March 2025.

Subject to conditions including the settlement process, ADQ will become the majority shareholder in the company. As stated in the offer document, as a majority shareholder, the Offeror has plans to support the transformation of Aramex, which it expects to be complex, capital intensive and to take time, which may consequently limit the perspective of short to medium-term return for shareholders.

The Offer Price of AED3represents an attractive premium of:

• 33% premium to last share price close of AED 2.25 / share as of 9 January 2025

• 35% premium to 1-month Volume Weighted Average Price (“VWAP”) of AED 2.23 / share

• 32% premium to 3-month VWAP of AED 2.28 / share

The Offer Price represents an attractive valuation of ~9x EV/EBITDA for the last twelve months ending September 2024 and ~29x P/E for the last twelve months ending September 2024.
