	Pursuant to earlier announcements made by Aramex PJSC ("Aramex") concerning the voluntary conditional cash offer from Q Logistics Holding LLC ("Q Logistics"), a wholly-owned indirect subsidiary of Abu Dhabi Developmental Holding Company PJSC (“ADQ”), to acquire up to 100% of the issued and paid-up share capital of Aramex not already held by Abu Dhabi Ports Company PJSC (the "Offer"), Aramex now announces that it has received from ADQ, on behalf of Q Logistics, the final results of the Offer (the “Results”). The details of the Results are set out in the attached letter. Completion of the Offer remains subject to fulfilment of certain conditions specified in the Offer Document. The Company will make further announcements with respect to any material developments in the matter in due course.

Subsequent to our letter dated 10[th] March 2025, pursuant to which Q Logistics Holding LLC, a wholly owned indirect subsidiary of ADQ, notified you that it will continue to accept shares from shareholders who did not tender during the Offer Period until 3:00pm (UAE time) on Monday 24[th] March 2025, we would like to inform you that after such 14 days period, Q Logistics Holding LLC has obtained acceptances representing 40.57% of the Company's shares. In addition to this, Abu Dhabi Ports Company PJSC ( AD Ports Group ) owns 22.69% of the Aramex’s shares.

The aggregate acceptances, together with the shareholding of AD Ports Group, amounts to 63.26% of the shares in Aramex PJSC, which exceeds the minimum acceptance conditions for the Offer specified in the Mergers and Acquisition Rules issued by the Securities and Commodities Authority.

وﺗﻠﺒﻲ ﻧﺴﺒﺔ اﻟﺘﻲ ﺗﻤﺘﻠﻜﻬﺎ اﻷﺳﻬﻢ إﻟى اﻟﻤﺘﺤﻘﻘﺔ، ﺑﺎﻹﺿﺎﻓﺔ اﻟﻘﺒﻮل ﻣﻦ اﻷﺳﻬﻢ ﻓي ﺷﺮﻛﺔ %63.26 ﻣﺠﻤﻮﻋﺔ ﻣﻮاﺊ أﺑﻮﻇﺒﻲ، ﻣﺎ ﻧﺴﺒﺘﻪ[�] ى ﻣﻦ ﺷﺮوط اﻟﻘﺒﻮل اﻟﻤﺤﺪدة ﻓي ﻗﻮاﻋﺪ[�] أراﻣﻜﺲ واﻟﺘﻲ ﺗﺘﺠﺎوز اﻟﺤﺪ اﻷد اﻻﻧﺪﻣﺎج واﻻﺳﺘﺤﻮاذ اﻟﺼﺎدرة ﻋﻦ ﻫﻴﺌﺔ اﻷوراق اﻟﻤﺎﻟﻴﺔ واﻟﺴﻠﻊ.

Completion of the Offer remains subject to fulfilment of certain conditions specified in the Offer Document.
