Arco (TN), December 21, 2021 – Aquafil announces that the Board of Directors, convened today in plenary session, acknowledged that Executive Director Adriano Vivaldi resigned from his position effective December 31, 2021, due to non-professional reasons.
In light of his resignation, the Board of Directors, pursuant to Article 2386, paragraph 1, of the Italian Civil Code and with the Board of Statutory Auditors' approval, resolved to replace Executive Director Adriano Vivaldi co-opting Attilio Annoni as Executive Director effective January 1, 2022, vesting him with the same powers previously granted to Adriano Vivaldi, thus ensuring full operating continuity.
"Adriano has been a part of our Group since 1988, lastly becoming Executive Director. His contribution to the results that Aquafil has achieved over the years has been fundamental and I am extremely grateful to Adriano both for what we have achieved in all these years together and for his willingness to stay on with us during the transitional phase, ensuring us his professional support as a consultant in the near future.
At the same time, I am very glad and honored that Attilio accepted to rejoin our Group. I am sure that thanks to his long-standing experience in the polyamide sector he will be key to achieving the ambitious growth targets we have set."
The Board of Directors also verified that Attilio Annoni meets the requirements necessary to hold this position, in accordance with applicable primary and secondary legislation, thus confirming that the new composition of the Board of Directors complies with regulatory and statutory provisions. Mr Annoni, by virtue of the powers delegated to him, does not meet the requirements of independence.
On the basis of the information available to the Company, Attilio Annoni does not hold any Aquafil S.p.A. shares to date.
It should be noted that the resigning Director Adriano Vivaldi: i) did not qualify as Independent Director pursuant to the regulatory and statutory provisions in force; ii) has entered into a fouryear non-competitive agreement with the Group, as resolved by the Board of Directors today, subject to the opinion of the Control, Risk and Sustainability Committee acting as Committee for transactions with related parties; iii) holds 253,296 shares of the Company, equal to 0.49% of share capital, with regard to which the Company has not been informed of any plans for monetization.

Aquafil is a pioneer in the circular economy also thanks to the ECONYL® regeneration system, an innovative and sustainable process able to create new products from waste and give life to an endless cycle. The nylon waste is collected in locations all over the world and includes industrial waste but also products – such as fishing nets and rugs – that have reached the end of their useful life. Such waste is processed to obtain a raw material – caprolactam – with the same chemical and performance characteristics as those from fossil sources. The polymers produced from ECONYL® caprolactam are distributed to the Group's production plants, where they are transformed into yarn for rugs carpet flooring and for clothing.
