Item 7.01 Regulation FD Disclosure.

On September 9, 2016, Delphi Automotive PLC's ("Delphi" or "we") customer, General Motors Company ("GM"), issued a press release indicating it was initiating a recall of approximately 3.64 million vehicles in the United States to enhance the airbag deployment system. Delphi supplied sensors and related control modules for the airbags in the affected vehicles in compliance with GM's product specifications and validation criteria. Accordingly, no reserve has been recorded at this time. We are fully cooperating with GM's implementation efforts surrounding its recall and, although we can provide no assurances, we do not expect that the cost, if any, of this recall would be material to our financial position, results of operations or cash flows.
