Annual General Meeting 2024 - Information to the Market

APS Bank plc (the "Bank") refers to Company Announcement APSB62 of 18 April 2024, and specifically to item 6 "Appointment of Directors" of the agenda of the Annual General Meeting taking place later on today, 9 May 2024.

The said agenda item explains that the retiring directors who have signified their willingness to continue in office were so re-appointed until the end of the 2025 annual general meeting. These re-appointments were made by the Qualifying Shareholders, as defined in the Articles of Association, in terms of articles 103 and 104 and were so notified by letter to the Company Secretary.

The Bank now wishes to inform that it is in receipt of a letter dated 8 May 2024 whereby the Diocese of Gozo, as a Qualifying Shareholder, has decided to temporarily withdraw the re-appointment of Mr Joseph Rapa as Director.
