Item 2.02 Results of Operations and Financial Condition.

On February 23, 2022, APi Group Corporation (the “Company”) issued a press release announcing certain preliminary results for its fiscal year ended December 31, 2021 in advance of the Company’s participation in the Citi’s 2022 Global Industrials Virtual Conference on Wednesday, February 23, 2022 and Barclays Industrial Select Conference on Thursday, February 24, 2022. A copy of the press release is furnished as Exhibit 99.1.

Item 7.01 Regulation FD Disclosure.

In addition to announcing these preliminary results, the Company also announced its full year 2022 guidance for net revenues, including growth on an organic basis, and adjusted EBITDA.
