Cleansing notice in respect of the Placement securities

APA Group Limited (ACN 091 344 704), as the trustee and responsible entity of APA Infrastructure Trust (ARSN 091 678 778) (“ APA Infra ”) and the trustee and responsible entity of APA Investment Trust (ARSN 115 585 441) (“ APA Invest ”) (together, “ APA ”) has today issued 79,411,765 fully paid APA stapled securities (each consisting of an ordinary unit in APA Infra and an ordinary unit in APA Invest) (“ Stapled Securities ”) to institutional investors under the placement announced on 23 August 2023.

APA gives notice under section 1012DA(5)(e) of the Corporations Act 2001 (Cth), as modified by ASIC Corporations (Sale Offers That Do Not Need Disclosure) Instrument 2016/80 and ASIC Corporations (Disregarding Technical Relief) Instrument 2016/73 (“ Act ”) that:

• APA issued 79,411,765 Stapled Securities without a product disclosure statement;

• as a disclosing entity, APA is subject to regular reporting and disclosure obligations;

• as at the date of this notice, APA has complied with:

  • the provisions of Chapter 2M of the Act, as they apply to APA; and

  • sections 674 and 674A of the Act, as those sections apply to APA; and

• as at the date of this notice, there is no excluded information of the type referred to in sections 1012DA(7) or 1012DA(8) of the Act that is required to be set out in this notice.
