Item 7.01 Regulation FD Disclosure.

On June 3, 2021, in connection with the pending combination of Aon plc (“Aon”) and Willis Towers Watson Public Limited Company (the “Combination”), Aon announced it has signed definitive agreements to sell its U.S. retirement business to Aquiline and its Aon Retiree Health Exchange TM business to Alight. The closing of each transaction is contingent on the completion of the Combination, as well as other customary closing conditions.
