A notice convening the annual general meeting of the Company to be held at Harbour Plaza Room I, B1/F, Harbour Plaza, North Point, 665 King’s Road, North Point, Hong Kong on Tuesday, 16 June 2026 at 11:00 a.m. is set out on pages 14 to 17 of this circular. A form of proxy for use at the annual general meeting is enclosed with this circular. Such form of proxy is also published on the website of The Stock Exchange of Hong Kong Limited at www.hkex.com.hk.
Whether or not you are able to attend the annual general meeting, you are requested to complete the accompanying form of proxy, in accordance with the instructions printed thereon and deposit the same at the Company’s branch share registrar in Hong Kong, Tricor Investor Services Limited at 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong as soon as possible and in any event not later than Sunday, 14 June 2026 at 11:00 a.m. (Hong Kong time) or via the designated URL (https://evoting.vistra.com) by using the username and password provided on the notification letter sent by the Company on 30 April 2026.
Completion and return of the form of proxy will not preclude you from attending and voting in person at the annual general meeting or any adjournment thereof should you so wish. Delivery of an instrument appointing a proxy shall not preclude you from attending and voting in person at the meeting convened and in such event, the instrument appointing a proxy shall be deemed revoked.

DEFINITIONS
In this circular, unless the context otherwise requires, the following expressions shall have the following meanings:

‘‘Adjusted Share(s)’’

(1) PROPOSED GRANT OF GENERAL MANDATES TO ISSUE AND REPURCHASE SHARES; (2) PROPOSED RE-ELECTION OF DIRECTORS; AND (3) NOTICE OF ANNUAL GENERAL MEETING
INTRODUCTION
At the forthcoming AGM, resolutions will be proposed to seek the Shareholders’ approval for, among other things, (i) the granting of the General Mandate and the Repurchase Mandate to the Directors; and (ii) the re-election of Directors.
The purpose of this circular is to provide you with information relating to the resolutions to be proposed at the AGM for the granting of the General Mandate and the Repurchase Mandate, the re-election of Directors and the notice of AGM.

LETTER FROM THE BOARD
GENERAL MANDATE AND REPURCHASE MANDATE
At the AGM, the Directors propose to seek the approval of the Shareholders to grant to the Directors the General Mandate and the Repurchase Mandate.
General Mandate
At the AGM, an ordinary resolution will be proposed such that the Directors be given an unconditional general mandate (i.e. the General Mandate) to allot, issue and deal with unissued Shares or underlying shares of the Company (other than by way of rights or pursuant to a share option scheme for employees of the Company or Directors and/or any of its subsidiaries or pursuant to any scrip dividend scheme or similar arrangements providing for the allotment and issue of Shares in lieu of whole or part of the dividend on Shares in accordance with the Articles of Association) or make or grant offers, agreements, options and warrants which might require the exercise of such power, of an aggregate amount of up to 20% of the issued Shares as at the date of granting of the General Mandate.
In addition, a separate ordinary resolution will further be proposed for extending the General Mandate authorising the Directors to allot, issue and deal with Shares to the extent of the Shares repurchased pursuant to the Repurchase Mandate. Details on the Repurchase Mandate are further elaborated below.
As at the Latest Practicable Date, the Company has an aggregate of 1,183,124,526 Shares in issue. Subject to the passing of the resolutions for the approval of the General Mandate and on the basis that no further Shares are issued or repurchased between the Latest Practicable Date and the date of the AGM, the Company would be allowed under the General Mandate to allot, issue and deal with a maximum of 236,624,905 Shares.
Repurchase Mandate
At the AGM, an ordinary resolution will also be proposed such that the Directors be given an unconditional general mandate to repurchase Shares (i.e. the Repurchase Mandate) on the Stock Exchange of an aggregate amount of up to 10% of the issued Shares as at the date of granting of the Repurchase Mandate.
Subject to the passing of the proposed resolution for the approval of the Repurchase Mandate and on the basis that no further Shares are issued or repurchased between the Latest Practicable Date and the date of the AGM, the Company would be allowed under the Repurchase Mandate to repurchase a maximum of 118,312,452 Shares.
An explanatory statement in connection with the Repurchase Mandate is set out in Appendix I to this circular. The explanatory statement contains all the requisite information required under the Listing Rules to be given to the Shareholders to enable them to make an informed decision on whether to vote for or against the resolution approving the Repurchase Mandate.

The General Mandate (including the extended General Mandate) and the Repurchase Mandate shall continue to be in force during the period from the date of passing of the resolutions for the approval of the General Mandate (including the extended General Mandate) and the Repurchase Mandate up to (i) the conclusion of the next annual general meeting of the Company; (ii) the expiration of the period within which the next annual general meeting of the Company is required by the Bye-Laws, the Companies Act 1981 and the Companies Amendment and Validation Act 2021 of the Bermuda or any other applicable law of the Bermuda to be held; or (iii) the revocation or variation of the General Mandate (including the extended General Mandate) or the Repurchase Mandate (as the case may be) by ordinary resolution of the Shareholders in general meeting, whichever occurs first.
RE-ELECTION OF DIRECTORS
According to Article 97 of the Bye-Laws, at each annual general meeting one-third of the Directors for the time being (or, if their number is not a multiple of three (3), the number nearest to but not less than one-third) shall retire from office by rotation provided that every Director shall be subject to retirement by rotation at least once every three years. A retiring Director shall be eligible for re-election. Accordingly, Mr. Liu Mingqing, Mr. Fan Xuefei, Mr. Wang Xiao Ning, and Ms. Chen Yuxin shall retire from office by rotation at the AGM. Each of Mr. Liu Mingqing and Mr. Fan Xuefei will offer themselves for re-election as executive Directors, Mr. Wang Xiao Ning and Ms. Chen Yiuxin will offer themselves for re-election as independent non-executive Directors.
At the AGM, an ordinary resolution will be proposed to re-elect each of Mr. Liu Mingqing as Executive Director, Mr. Fan Xuefei as Executive Director, Mr. Wang Xiao Ning as Independent non-executive Director and Ms. Chen Yuxin as Independent non-executive Director. Biographical details of the retiring Directors who are proposed to be re-elected at the AGM are set out in Appendix II to this circular.
RE-APPOINTMENT OF THE AUDITORS
Messrs. KTC Partners CPA Limited will retire as the auditors of the Company at the AGM and, being eligible, offer themselves for re-appointment.
The Audit Committee has considered a number of factors in assessing the appointment of the auditor, including but not limited to
-
(i) the audit fee proposal, which aligns with the Company’s objective of effective cost control;
-
(ii) the extensive experience, industry knowledge, and technical competence in providing audit work to listed companies;
-
(iii) its demonstrated independence from the Group, ensuring objectivity;
-
(iv) its reputable standing in the market;

(v) its resources and capabilities, including the size and structure of the proposed audit team;
-
(vi) the Guidelines for Effective Audit Committees — Selection, Appointment and Reappointment of Auditors published by the AFRC; and
-
(vii) Guidance Notes on Change of Auditors published by the AFRC.
The board had estimated the Audit fee being HK$2.5 million for the year 2026.
AGM
A notice convening the AGM to be held at Harbour Plaza Room I, B1/F, Harbour Plaza, North Point, 665 King’s Road, North Point, Hong Kong on Tuesday, 16 June 2026 at 11:00 a.m. is set out on pages 14 to 17 of this circular. Ordinary resolutions will be proposed at the AGM to approve, among other things, the proposed grant of the General Mandate (including the extended General Mandate) and the Repurchase Mandate and the proposed reelection of Directors.

The Directors, having made all reasonable enquiries, confirm that to the best of their knowledge and belief the information contained in this circular is accurate and complete in all material respects and not misleading or deceptive, and there are no other matters the omission of which would make any statement herein or this circular misleading.

RECOMMENDATION
The Directors consider the proposed grant of the General Mandate (including the extended General Mandate) and the Repurchase Mandate and the proposed re-election of Directors are in the interests of the Company and the Shareholders as a whole. Accordingly, the Directors recommend the Shareholders to vote in favour of the relevant resolutions to be proposed at the AGM.
GENERAL
To the best of the Director’s knowledge, information and belief, having made all reasonable enquiries, no Shareholder is required to abstain from voting on the resolutions to be proposed at the AGM.
MISCELLANEOUS
The English text of this circular shall prevail over the Chinese text for the purpose of interpretation.

APPENDIX I EXPLANATORY STATEMENT FOR THE REPURCHASE MANDATE
This Appendix serves as an explanatory statement, as required by the Listing Rules, to provide requisite information to you for your consideration of the Repurchase Mandate.
1. REPURCHASE OF SECURITIES FROM CONNECTED PARTIES
The Listing Rules prohibit the Company from knowingly purchasing its securities on the Stock Exchange from a ‘‘connected person’’, that is, a director, chief executive or substantial shareholder of the Company or any of its subsidiaries or their respective close associates (as defined in the Listing Rules) and a connected person is prohibited from knowingly selling to the Company his/her/its securities of the Company.
No connected person of the Company has notified the Company that he/she/it has a present intention to sell any Shares to the Company nor has any such connected person undertaken not to sell any of the Shares held by him/her/it to the Company in the event that the Repurchase Mandate is passed.
2. SHARE CAPITAL
As at the Latest Practicable Date, the issued share capital of the Company comprised 1,183,124,526 fully paid Shares.
Subject to the passing of the proposed resolution for the approval of the Repurchase Mandate and on the basis that no further Shares are issued or repurchased by the Company prior to the AGM, the Company will be allowed under the Repurchase Mandate to repurchase a maximum of 118,312,452 fully paid Shares, representing 10% of the issued shares of the Company as at the date of passing of the resolution.
The Shares repurchased by the Company under the Repurchase Mandate shall be automatically cancelled.
3. REASONS FOR THE REPURCHASE
The Directors believe that the Repurchase Mandate is in the best interests of the Company and its Shareholders as a whole. An exercise of the Repurchase Mandate may, depending on market conditions and funding arrangements at the time, lead to an enhancement of the net assets per Share and/or earnings per Share and will only be made when the Directors believe that a repurchase will benefit the Company and its Shareholders as a whole.
4. FUNDING OF REPURCHASES
Repurchases would be funded entirely from the Company’s available cash flow or working capital facilities which will be funds legally available for the purpose in accordance with the applicable laws of Bermuda and the restated Bye-Laws of the Company, which being effective on 11 December 2024.

APPENDIX I EXPLANATORY STATEMENT FOR THE REPURCHASE MANDATE
An exercise of the Repurchase Mandate in full may have a material adverse impact on the working capital and gearing position of the Company compared with those as at 31 December 2025, being the date of its latest published audited consolidated financial statements. The Directors do not, however, intend to make any repurchase in circumstances that would have a material adverse impact on the working capital or gearing position of the Company.

6. DISCLOSURE OF INTERESTS AND MINIMUM PUBLIC HOLDING
None of the Directors or, to the best of their knowledge having made all reasonable enquiries, their close associates, have any present intention to sell to the Company or its subsidiaries any of the Shares in the Company if the Repurchase Mandate is approved at the AGM.
The Directors have undertaken to the Stock Exchange that, so far as the same may be applicable, they will exercise the powers of the Company to make repurchases pursuant to the Repurchase Mandate in accordance with the Listing Rules and applicable laws of the Bermuda.

APPENDIX I EXPLANATORY STATEMENT FOR THE REPURCHASE MANDATE
If a Shareholder’s proportionate interest in the voting rights of the Company increases on the Company exercising its powers to repurchase Shares pursuant to the Repurchase Mandate, such increase will be treated as an acquisition for the purposes of Rule 32 of the Takeovers Code. As a result, a Shareholder or group of Shareholders acting in concert could obtain or consolidate control of the Company and become obliged to make a mandatory offer in accordance with Rules 26 and 32 of the Takeovers Code.
As at the Latest Practicable Date, no Shareholder is interested in more than 10% of the Shares then in issue.
On the basis that no further Shares are issued and there is no change of the shareholding structure, an exercise of the Repurchase Mandate in full will not result in any Shareholders becoming obliged to make a mandatory offer under Rules 26 and 32 of the Takeovers Code.
At as the Latest Practicable Date, the Directors have no intention to exercise the Repurchase Mandate to such an extent that will result in a requirement of any other persons to make a general offer under the Takeovers Code or the number of Shares in the hands of the public falling below the prescribed minimum percentage of 25%.
7. SHARES REPURCHASE MADE BY THE COMPANY
The Company had not purchased any of its Shares (whether on the Stock Exchange or otherwise) during the previous six months immediately prior to the Latest Practicable Date.

DETAILS OF DIRECTORS PROPOSED TO BE RE-ELECTED AT THE AGM
APPENDIX II
Details of the Directors who will retire from office at the AGM and being eligible, will offer themselves for re-election at the AGM, are set out below:
- (1) Mr. Liu Mingqing (‘‘Mr. Liu’’), aged 47, had been appointed as an executive director of the Company on 27 March 2020. Mr. Liu has over 15 years of experience in financial and investment related business and considerable experience in securities and futures, corporate finance, derivative products and other various financial services. Mr. Liu is currently involved in Private Equity investment and enterprise management.
There is no service agreement entered into with the Company. Mr. Liu had been appointed for a term of one year, but is subject to retirement by rotation and reelection pursuant to the byelaws of the Company.
As at the Latest Practicable Date, Mr. Liu did not hold any Shares. Save as disclosed herein, he did not have, and is not deemed to have any interests or short positions in any Shares, underlying shares or debentures of the Company or any of its associated corporations which is required to be disclosed under Part XV of the SFO as at the Latest Practicable Date.
As at the Latest Practicable Date, Mr. Liu did not have any relationship with other Directors, senior management or substantial or controlling shareholders of the Company nor hold any directorship in any public companies the securities of which are listed on any securities market in Hong Kong or overseas in the past three years.
There is no other information relating to the appointment of Mr. Liu that is required to be disclosed pursuant to Rules 13.51(2)(h) to (v) of the Listing Rules. - (2) Mr. Fan Xuefei (‘‘Mr. Fan’’), aged 41, had been appointed as an executive director of the company on 15 July 2025. He graduated from Xi’an Institute of Physical Education with a bachelor’s degree. He is an excellent management talent with extensive practical experience in real estate development, project management, digital transformation and consumer product sales. Since 2009, Mr. Fan has been engaged in real estate and related industries, and has served in many important positions such as business manager, sales manager, digital industry project manager and property manager. Leveraging his excellent ability of formulating sales strategy and property management expertise, he is currently the deputy general manager for projects in one real estate group, fully demonstrating his top-tier capabilities in the overall management of large projects.
In the field of consumer product sales, Mr. Fan has demonstrated outstanding market acumen and sales strategy planning capabilities. He is adept at flexibly formulating marketing plans based on market demand and using diversified promotion methods to effectively increase product sales, leading the team to achieve great results in a highly competitive market environment. Mr. Fan pays particular attention to the

management and maintenance of customer relationships. Through continuous communication and service, he has earned the trust and praise of a wide range of customers and established a good brand image for the company.
Mr. Fan has also accumulated relevant experience in blockchain and digital economy. He has participated in promoting the digital transformation of enterprises, is familiar with the basic knowledge of emerging fields such as blockchain technology, digital assets and industrial digitalization, and has the ability to learn and apply new technologies. Mr. Fan has experience in participating in cross-border business, digital assets and related financial technology projects, and has a certain understanding of cross-border capital flows, foreign exchange supervision and compliance requirements. In addition, he is also familiar with the process of formulating compliance operation standards, assisting enterprises to establish compliance systems in the fields of digital economy and cross-border finance, and possesses an international perspective and cross-cultural communication skills, and can grasp the opportunities for regional cooperation and international development.
Mr. Fan has been deeply involved in the real estate industry for many years. With his keen insight into the real estate market and extensive project management experience, Mr. Fan can efficiently coordinate the entire project process, flexibly coordinate the resources of various departments, and promote the steady implementation of projects. He is proficient at formulating practical market expansion strategies, leading the team to achieve great results, and has won high recognition from the industry and partners. Mr. Fan pays attention to team building and talent training, has strong leadership and communication and coordination skills, and can maintain forward-looking and scientific decision-making in a complex and changing market environment.
There is no service agreement entered into with the Company and Mr. Fan had been appointed for a term of one year, but is subject to retirement by rotation and reelection pursuant to the bye-laws of the Company.

In relation to proposed resolutions nos. 4 and 6 above, approval is being sought from the shareholders for the grant to the Directors of a general mandate to authorise the allotment and issue of shares of the Company under the Listing Rules.

In relation to proposed resolution no. 5 above, the Directors wish to state that they will exercise the powers conferred thereby to repurchase Shares in circumstances which they deem appropriate for the benefit of the shareholders of the Company.
