Issue of SAYE Options to PDMRs and Employees

AO World plc ("the Company") announces that on 29 January 2016 the Company granted options ("Options") over 1,309,416 ordinary shares of 0.25p each ("Ordinary Shares") pursuant to the AO World plc 2016 Sharesave Scheme.

The Options have a contract start date of 1 March 2016 and are exercisable between 1 March 2019 and 30 August 2019. The exercise price, which was set in accordance with HM Revenue & Customs rules for sharesave plans, is 125 pence per Ordinary Share.  The allocation of share options was made available to UK employees with at least three months' service to the Group and amounts to 0.3% of the Company's current issued share capital.  The exercise of options on maturity is not dependent upon performance criteria.

Within the options described above, options were granted to the following Persons Discharging Managerial Responsibilities (PDMRs):

The above named PDMRs have cancelled their participation in previous AO Sharesave Schemes to enter this year's scheme (and accordingly options granted to such PDMRs under previous AO Sharesave Schemes have lapsed).  Notification of cancellation of participation in previous Sharesave Schemes by such PDMRs was received by the Company on 29 January 2016.
