Toll Holdings Limited - Disclosures regarding shareholding interests
Reference is made to the announcement made by Australia and New Zealand Banking Group Limited ( ANZ ) on 7 April 2008 regarding its interests in various ASX listed entities arising under transactions entered into pursuant to Australian Master Securities Lending Agreements ( AMSLAs ) with Opes Prime Stockbroking Limited and Leveraged Capital Pty Ltd ( Opes Prime AMSLAs ) and other market participants.
As indicated in that announcement, although there is some uncertainty as to whether ANZ is under a legal obligation to do so, ANZ intends to lodge substantial holding notices in relation to relevant listed entities.
We attach two substantial holding notices with respect to Toll Holdings Limited. The first notice discloses details of ANZ's interests in Toll Holdings Limited as at 27 March 2008 (being the date that administrators were appointed to companies within the Opes Prime Group). The second notice discloses details of ANZ's interests in Toll Holdings Limited as at 1 May 2008.
We note that acquisitions of securities in Toll Holdings Limited may have occurred pursuant to the Opes Prime AMSLAs and AMSLAs with other market participants over an extended period and that ANZ may have first acquired a substantial holding in Toll Holdings Limited prior to 27 March 2008.
Similarly, transactions in securities in Toll Holdings Limited may have occurred on a number of occasions between 27 March 2008 and 1 May 2008, and ANZ may have ceased to have had a substantial holding in Toll Holdings Limited / ANZ's interest in Toll Holdings Limited may have changed by more than 1% on one or more occasions prior to the date of the second notice.
As indicated in the announcement of 7 April 2008, ANZ has commenced a disposal programme ( Disposal Programme ) with respect to securities in which it has an interest under the Opes Prime AMSLAs.
We note that of the securities identified in the second attached notice, only the 560,109 securities that were acquired by ANZ pursuant to Opes Prime AMSLAs are subject to the Disposal Programme (although other securities may be disposed of from time to time independently of the Disposal Programme).

As to 26,435,082 shares - taken under section 608(3)(a) of the Corporations Act 2001 to have the same relevant interests in the Entity as ING Australia Ltd ("INGA") by reason of it having voting power above 20% in INGA, which voting power was acquired pursuant to three agreements between ANZ Orchard Investments Pty Ltd and INGA dated 30/04/02, copies of which are set out in the annexure of 18 pages annexed to this notice and marked “B”. ANZ understands that INGA has a relevant interest in the number of securities in the Entity specified in the adjacent column by reason of it or an entity controlled by it being the registered holder or being entitled to be registered as the holder of such securities in the Entity. If the relevant interests of a group of persons are essentially similar, they may be referred to throughout the form as a specifically named group if the membership of each group, with the names and addresses of members is clearly set out in paragraph 6 of the form.

(7) Details of the consideration must include any and all benefits, money and other, that any person from whom a relevant interest was acquired has, or may, become entitled to receive in relation to that acquisition. Details must be included even if the benefit is conditional on the happening or not of a contingency. Details must be included of any benefit paid on behalf of the substantial holder or its associate in relation to the acquisitions, even if they are not paid directly to the person from whom the relevant interest was acquired.
(8) If the substantial holder is unable to determine the identity of the person (eg if the relevant interest arises because of an option) write "unknown".
(9) Give details, if appropriate, of the present association and any change in that association since the last substantial holding notice.
