NOTIFICATION OF CHANGES IN THE SHARE CAPITAL AND IN THE TOTAL AMOUNT OF THE VOTING RIGHTS
(Article 85-bis, section 4-bis, of Consob Regulation no. 11971)
Travagliato (Brescia), 06 June 2025 – Antares Vision S.p.A. (EXM, AV:IM) (the "Company"), an Italian multinational leader in traceability and quality control, which ensures product and supply chain transparency through integrated data management, announces the new composition of its share capital (fully subscribed and paid-in) and the total number of voting rights, following the execution of a capital increase carried out on May 27, 2025.
This capital increase was approved by the Board of Directors on May 14, 2025, in partial exercise of the powers delegated by the Shareholders' Meeting held on February 22, 2021. The increase was implemented with the exclusion of pre-emptive rights pursuant to Article 2441, paragraph 5, of the Italian Civil Code, for a maximum nominal amount of €337.31 through the issuance of up to 138,242 new ordinary shares. These shares were reserved for subscription by Executive Director Fabio Forestelli as the beneficiary of a stock-based incentive plan.
The certification of the change in share capital was filed and registered with the Brescia Company Registry on 4th June 2025 together with the new text of the Bylaws, which will be made available within the terms provided by current regulations.
The following table shows the current composition of the share capital and the total number of voting rights exercisable at the Shareholders' Meeting as of today's date, with evidence of the changes compared to the previous situation.
