ANTARES VISION S.P.A.: MERGER BY INCORPORATION OF WHOLLY-OWNED COMPANY CONVEL S.R.L. APPROVED

Travagliato (BS), 7 September 2022 – As noted, the Board of Directors of Antares Vision S.p.A., Italian multinational, leading provider in Track & Trace systems and quality control, which guarantee the transparency of products and supply chains through integrated data management (Antares Vision or the Company) and that of its subsidiary Convel S.r.l. (Convel), a company specialising in automated inspection in the pharmaceutical industry, approved the proposed merger by incorporation of Convel into Antares Vision (the Merger) on 20 June 2022, pursuant to art. 2505, section two of Italian civil code, recorded in the Company Registers of Brescia and Vicenza on 21 June 2022 and 24 June 2022 respectively.

We now announce that, on today's date, the Board of Directors of Antares Vision, following a resolution stated on public record, and the Shareholders' Meeting of Convel, approved the Merger in accordance with the terms set forth in the cited proposal.

As already mentioned, the Merger operation stemmed from the need for Antares Vision to encompass the activities currently performed independently by Convel (and which are already covered by the corporate purpose of Antares Vision and are performed by the same), with the related and consequent simplification of the group led by the Company.

In accordance with the right granted under article 2504-bis, section two, of the Italian civil code, the Merger will take effect from 1 January 2023. From said date, Antares Vision will take over all active and passive legal relations belonging to Convel. No particular benefits are envisaged for the directors of the companies participating in the Merger.

The Merger deed is expected to be signed in the second half of November 2022.

The minutes of the Merger resolutions adopted by the Company's Board of Directors and by Convel's Shareholders' Meeting will be deposited for registration by the competent offices of the Company Registers of Brescia and Vicenza, respectively, and made available to the public, in accordance with the terms and procedures envisaged by law and by regulations, at the registered offices of Antares Vision and Convel, on the website of Antares Vision (www.antaresvision.com, Investors section) where all of the documentation relating to the Merger is available - and at the authorised storage mechanism at .
