NOTICE OF LOSS OF INDEPENDENCE REQUIREMENTS BY A DIRECTOR
Travagliato (Brescia), September 15, 2025 – The Board of Directors of Antares Vision S.p.A. (EXM, AV:IM) ("Antares Vision" or the "Company"), which met today, has acknowledged the information provided by attorney Vittoria Giustiniani, who communicated that she no longer meets the independence requirements set forth under Articles 147-ter, paragraph 4, and 148, paragraph 3, of Legislative Decree No. 58/1998, due to her role as of counsel at the law firm BonelliErede, which advised Regolo S.p.A. and senior executives as legal counsel in connection with the acquisition by Crane NXT Co. of a controlling interest in Antares Vision.
It should be noted that the foregoing does not affect compliance with applicable laws and the Company's bylaws regarding the minimum number of independent directors on the Company's Board of Directors.
