PUBLICATION OF THE PROPOSED RESOLUTIONS FOR THE SHAREHOLDERS' MEETING ON 10 JULY 2024
Travagliato (Brescia), 26 June 2024 – With reference to the Shareholders' Meeting to be held on 10 July 2024, Antares Vision S.p.A. (the "Company") announces that on 25 June 25 2024, the shareholder Regolo S.p.A. - the holder of a total of 35,080,227 ordinary shares of the Company equal to 49.58% of the Company's share capital and 61.63% of the voting rights - submitted proposed resolutions in relation to sub-items 3. 4 ("Appointment of the Chairman of the Board of Directors"), 3.5 ("Determination of the remuneration of the members of the Board of Directors") and 4.3 ("Determination of the remuneration of the members of the Board of Statutory Auditors") on the agenda of the ordinary part.
The aforementioned proposals have been made available to the public on the Company's website at www.antaresvisiongroup.com in the "Investor Relations/Assembly – 10 July 10 2024" section, at the Company's registered office, as well as at the authorized storage mechanism "," which can be accessed at .
It should be noted that on 14 June 2024, Regolo S.p.A. submitted to the Company: (i) a list of candidates for the office of member of the Board of Directors, together with the proposed resolutions related to sub-items 3.1 ("Determination of the number of members of the Board of Directors") and 3. 2 ("Determination of the term of office of the Board of Directors") on the agenda; and (ii) a list of candidates for the position of member of the Board of Statutory Auditors, together with the proposed resolution related to sub-item 4.2 ("Appointment of the Chairman of the Board of Statutory Auditors") on the agenda, to be submitted to the vote of the Shareholders' Meeting. The lists and the related proposed resolutions were disclosed to the public by the Company on 19 June 2024, as announced on the same date.
