• Intimation submitted to the stock exchanges on the 25[th] February, 2025 for Commencement of Corporate Insolvency Resolution Process (CIRP) against Ansal Properties and Infrastructure Limited by Hon'ble National Company Law Tribunal (NCLT), New Delhi Bench, Court-IV.

(iii) Regulations 17 and 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.

(iv) Companies Act, 2013 and Rules made there under.

Dear Sir/Madam,

With reference to the captioned matter kindly note that:

1. cessation/vacation of office by Shri Pranav Ansal (Din: 00017804), Promoter, from the positions of Chairman, Whole Time Director and Director of the Company w.e.f the 31[st] October, 2025 (During the continuation of Corporate Insolvency Resolution Process).

2. other directors viz. Shri Sunil Kumar Gupta (DIN: 06531451), Smt. Francette Patricia Atkinson (DIN: 10388863) and Shri Binay Kumar Singh (DIN: 10467660) have already resigned from the Company during the continuation of the Corporate Insolvency Resolution Process (CIRP) and intimations were already submitted to the stock exchanges, from time to time.

3. in pursuant to the provisions of Sections 167(3) and 168(3) and other applicable provisions, if any, of the Companies Act, 2013 and the rules made thereunder, and in view of the fact that all the directors of the Company have resigned from their offices or vacated their offices, resulting in the Company having no director on its Board, Shri Pranav Ansal, being the Promoter of the Company and has authority from other promoter/promoter group of the Company to appoint the required number of directors (who shall hold the office till the directors are appointed by the company in general meeting), has appointed the following person(s) as Director(s) of the

1) Vide Hon’ble NCLAT order dated the 07[th] January, 2026, Corporate Insolvency Resolution Process under Insolvency and Bankruptcy Code, 2016 has now been confined to Lucknow and some projects of Rajasthan of the Company in CP No.: IB 558(ND)/2024. These Projects are currently managed by Shri Navneet Kumar Gupta, Resolution Professional.

2) The Serene Residency Group Housing Project of APIL, situated at Sector ETA –II, Greater Noida, U.P, is also managed by Shri Navneet Kumar Gupta, Resolution Professional of said Project. The Resolution Plan of the said project was approved by Hon'ble National Company Law Tribunal (NCLT), New Delhi, Bench II on the 06th October, 2025. 3) The Fernhill Project of APIL, situated at District Gurgaon, Haryana, is managed by Shri Jalesh Kumar Grover, Resolution Professional of the said Project.
