Anora Group Plc: Employee representation on Anora’s Board of Directors and
organisational meeting of the Board of Directors

Anora complies with the rules for arranging employee representation on the Board
of Directors. As announced on 10 May 2021, Anora’s employees have the right to
elect two employee representatives to Anora’s Board of Directors and the first
employee representative has been elected. Anora’s employees have elected Arne
Larsen as member of the Board of Directors.

The term of office for the employee representatives is approximately two years
and commences at the conclusion of the Annual General Meeting following the
election. However, the first term of the employee representatives ends at the
conclusion of the Annual General Meeting 2024.

Organisational meeting of the Board of Directors

The Board of Directors of Anora Group Plc held its organisational meeting today
and elected members of the Audit and Human Resources Committees as follows:

  • Audit Committee: Jyrki Mäki-Kala (chairman), Ingeborg Flønes, Nils Selte and
    Sanna Suvanto-Harsaae.

  • Human Resources Committee: Michael Holm Johansen (chairman), Kirsten Ægidius,
    Sinikka Mustakari and Torsten Steenholt

The Board of Directors has assessed that all members of the Board of Directors
are independent of the company with the exceptions of Ingeborg Flønes and Arne
Larsen. Ingeborg Flønes is the CEO of Hoff SA and Arne Larsen is employed by the
Anora Group. Furthermore, all members of the Board of Directors, with the
exception of Sinikka Mustakari and Nils Selte, are independent of the company’s
significant shareholders. Sinikka Mustakari holds an office in the Ownership
Steering Department of the Finnish Prime Minister’s Office and Nils Selte is the
CEO of Canica AS.
