PDMR/DIRECTORS' INTERESTS

The Company received notification on 4 March 2016 of the following transactions in ordinary shares ("Shares") in the capital of the Company by PDMRs which took place on 4 March 2016.

Awards of Shares at nil cost under the Company's Bonus Share Plan ("BSP") made on 4 March 2016.

Under the terms of the BSP, two thirds of each Share award will be released in 2019, subject to continued employment. The remaining one third of each award will be subject to a further holding period of two years, and will be released in 2021.

The LTIP provides Directors and senior employees with Shares awarded on a conditional basis as determined by the Board's Remuneration Committee. These awards will vest in 2019, subject to the satisfaction of performance conditions as explained in the Group's report & accounts, and the Shares will then be subject to a further holding period of two years and will be released in 2021.
