Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On January 7, 2011, The Andersons, Inc. ("the Company"), as Borrower, signed the First Amendment to the Third Amended and Restated Loan Agreement ("the Amendment") with several financial institutions, including U.S. Bank National Association, acting as Agent. The Amendment provides the Company with an increase in the total amount of the Line of Credit A Loan Commitments by $92 million to $605 million. The foregoing description of the Amendment does not purport to be complete and is qualified in its entirety by reference to the Amendment which is filed as exhibit 10.45 of this Current Report.
