Additional Explanations

In order to diversify debt structure of our Company, within the framework of the Capital Markets Law and related legislation, our Board of Directors has taken the decision on November 14, 2023 to authorize Company management to issue Turkish Lira debt instruments up to 2.5 Billion Turkish Liras, through a single or multiple issuances to qualified investors domestically and/or private placement methods, with a discount and/or a fixed or floating coupon depending on the market conditions. Within this context, the Company management is authorized to make all required applications to the Banking Regulation and Supervision Agency, the Capital Markets Board, Borsa İstanbul A.Ş., Central Registry Agency, Takasbank and other relevant authorities, and to carry out, complete all other necessary actions, to prepare and sign all the documents on behalf of our Company.
