Item 8.01 Other Events.

On September 8, 2011, Amtech Systems, Inc. (the “Company”) filed an application with the Securities and Exchange Commission (the “Commission”) on Form RW (the “Withdrawal Application”) for an order granting the immediate withdrawal of its Registration Statement on Form S-3 (Registration No. 333-172115) together with all exhibits and amendments thereto (the “Registration Statement”). The Registration Statement was originally filed with the Commission on February 8, 2011.

The Company elected not to proceed with the offering due to general market conditions and a determination that it would not have been in the best interest of the Company or its stockholders to proceed. No securities have been sold under the Registration Statement or in connection with the offering.

On September 9, 2011, the Company issued a press release announcing its filing of the Withdrawal Application. A copy of the press release is furnished as Exhibit 99.1 to this report.
