Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(e) On November 20, 2009, upon the recommendation of the Compensation Committee of the Board of Directors of Amtech Systems, Inc. (the Company), the Board approved restricted stock and option grants for its executives. Jong S. Whang, the Companys Chairman of the Board, Chief Executive Officer and President received a grant of an option to purchase 20,000 shares of the Companys common stock and a restricted stock grant of 10,000 shares of the Companys common stock. Bradley C. Anderson, the Companys Vice PresidentFinance and Chief Financial Officer received a grant of an option to purchase 10,000 shares of the Companys common stock and a restricted stock grant of 5,000 shares of the Companys common stock. Robert T. Hass, the Companys Chief Accounting Officer received a grant of an option to purchase 2,667 shares of the Companys common stock and a restricted stock grant of 1,333 shares of the Companys common stock. Each of the restricted stock and option grants will vest in four (4) equal annual installments beginning on November 20, 2010. All options granted have an exercise price of $6.15 (the closing price of the Companys common stock on November 20, 2009).
