RB 25/2023 Signing of the financing agreement;AmRest Holdings, SE("AmRest" or the "Company"), in compliance with the provisions ofarticle 227 of Law 6/2023 of 17 March on Securities Markets andInvestment Services and related provisions, hereby announces that today(i.e. 11 December 2023) it has signed a financing agreement for anamount of EUR 800,000,000 (the "Agreement") with the following terms andconditions:;a) Lenders:;- Banco Bilbao Vizcaya Argentaria, S.A., - BNPParibas Bank Polska S.A.,;- Bank Polska Kasa Opieki S.A.,;- _#268;esk_#225;Spo_#345;itelna, A.S.,;- Coöperatieve Rabobank U.A.,;- ING Bank ŚląskiS.A.,;- Powszechna Kasa Oszczędności Bank Polski Spółka Akcyjna,;- BancoSantander, S.A. and Santander Bank Polska S.A.; b)Tranches andpurposes:;- Facility A: for an amount of EUR 560,000,000 - for therepayment of the existing debt,;- Facility B: for an amount of EUR110,000,000 - for CAPEX, general corporate purposes and to finance theorganic growth of the Company and its group (the "Group"), and;-Facility C: revolving facility for an amount of EUR 130,000,000 - tofinance the Group's working capital.; The payment calendar does notforesee any mandatory prepayment during the first two years, with aquarterly repayment calendar starting on 31 December 2025 and a finalmaturity in December 2028.; Cost of the debt: Euribor + 2.50% that willbe reduced or increased depending on the leverage ratio of the Group.;The Agreement is subject to the fulfillment of certain obligations thatare customary in this type of transactions (including maintainingcertain financial ratios) and is guaranteed by certain companies of theGroup.; The disbursement of the Facility A of the new Agreement willtake place in the following days, once the conditions to which it issubject are complied with, which will be duly informed to the market.The Company will be able to dispose of the rest of the facilities inaccordance with its needs during the validity of the Agreement.
