UPDATE ON AMPLIFON'S ACQUISITION OF GAES: UNCONDITIONAL CLEARANCE FROM SPANISH AND PORTUGUESE ANTITRUST AUTHORITIES
Milan, October 8 th , 2018 - Amplifon S.p.A. ("Amplifon" or the "Company"; MTA; Bloomberg ticker: AMP:IM), global leader in hearing solutions and services, announces today that it has obtained all necessary antitrust clearances for the acquisition of GAES, communicated on July 24th, 2018. Both the Spanish and Portuguese antitrust authorities (Comisión Nacional de los Mercados y de la Competencia and Autoridade da Concorrência, respectively) approved the transaction with no conditions.
Amplifon also announces the successful closing of the syndication of the financing facility lead by UniCredit, in the role of Sole global coordinator, Sole bookrunner, mandated lead arranger and agent, to a pool of banks in the role of mandated lead arrangers including BNP Paribas, HSBC, ING and Mediobanca.
Amplifon confirms the expected closing of the transaction by the end of Q4 2018, following some minor activities for the completion of the transaction.
