Item 8.01 Other Events

On April 28, 2020, Amphenol Technologies Holding GmbH (the “Company”), a wholly owned subsidiary of Amphenol Corporation (“Amphenol”), entered into a Purchase Agreement among the Company, Amphenol, as guarantor, and Barclays Bank PLC, Commerzbank Aktiengesellschaft, HSBC Bank plc and J.P. Morgan Securities plc, as representatives of the several initial purchasers named therein, relating to the offer and sale of €500 million aggregate principal amount of the Company’s 0.750% Senior Notes due 2026 (the “Notes”).

On April 28, 2020, the Company issued a press release announcing the pricing of the Notes, which is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
