Redemption of AMP Capital Notes 2 issued by AMP Limited

AMP Limited (ASX:AMP) refers to the $275 million AMP Capital Notes 2 (ASX:AMPPB) (Capital Notes 2) which were issued on 23 December 2019. Capitalised terms used but not defined in this notice have the meaning given to them in the terms of the Capital Notes 2 (Terms).

AMP notifies holders of the Capital Notes 2 that on 16 December 2025 (being the Optional Exchange Date) all Capital Notes 2 will be Redeemed by AMP in accordance with the Terms.

All Capital Notes 2 holders on the register on 8 December 2025 will be paid $100 for each Capital Notes 2 on 16 December 2025, in accordance with the instructions for Distributions on the register.

A final Distribution of $1.8508 per Capital Notes 2 with a Franking Rate of 20%, for the period from 16 September 2025 to 15 December 2025 (inclusive) is also scheduled to be paid on 16 December 2025. Distributions are subject to the satisfaction of the distribution payment conditions in the Terms.

The last day of trading in Capital Notes 2 on the ASX is expected to be 4 December 2025 and offmarket transfers of Capital Notes 2 will not be accepted after 8 December 2025.

The redemption of the Capital Notes 2 does not imply or indicate that AMP or AMP Bank Limited will in the future exercise any right it may have to redeem any other outstanding regulatory capital instruments issued by either AMP or AMP Bank Limited. Any such future redemption would also be subject to the receipt of prior written approval from APRA (which may or may not be provided).
