Results of General Meeting

File Forge Technology PLC (AQSE: FILE) is pleased to announce that all resolutions proposed at the General Meeting ("GM") held earlier today were duly passed which included the approval of the acquisition of the entire issued share capital of Amirose London Ltd from Epoque Services Incorporated Limited (the "Acquisition"), approval of waiver of obligations under Rule 9 of the City Code on Takeovers and Mergers, and reorganisation of the share capital of the Company.

Share Capital Reorganisation

Having received shareholder approval at the GM held earlier today, as part of the Acquisition the Company's 297,195,000 ordinary shares of £0.001 each in the issued capital of the Company will be consolidated into 12,383,126 ordinary shares of £0.024 each on the basis of a 24:1 consolidation. Following the change becoming effective the ISIN for the consolidated ordinary shares will be changed to GB00BSNNWX86, effective from 19 May 2025.
