Result of EGM and Directorate Change

Amiad (AIM: AFS), a leading global producer of water treatment and filtration solutions, is pleased to announce that, at the Extraordinary General Meeting ("EGM") of the Company held earlier today, all of the resolutions were duly passed. These included the appointment as non-executive directors of the Company of Ms Lilach Asher Topilsky and Mr Ran Shahor, both with effect from the conclusion of today's EGM, and of Mr Ishay Davidi, whose appointment is conditional upon admission to trading on AIM of the Subscription Shares and the Proposed Open Offer Shares (as such terms are defined in the Company's circular to shareholders dated 27 February 2020), which is itself conditional upon the approval of the Israeli Competition Authority and such admission becoming effective at 8.00 a.m. on or around 29 April 2020 or such later date as may be determined by the Company. Further information in relation to the Company's proposed fundraising, through the Subscription and Open Offer, will be announced in due course.

** In accordance with Israeli law, in addition to a regular majority of votes, a majority of shareholders not defined as a 'controlling shareholder' or as having a 'personal interest' is also required for resolutions 3-10, 12 and 14-16 to pass. These resolutions all passed on this basis.
