Sub: Non-Applicability of Regulation 23{9) of the SEBI (LODR) Regulations, 2015 Ref.: SOP-CReview-Jan2021(18/01/2021)

We refer to your email bearing No.SOP-CReview-Jan.2021 dated 18/01/2021 regarding non-compliance of Regulation 23(9) of SEBI (LODR) Regulations, 2015 and levying fine as per the SEBI Circular No. SEBI/HO/CFD/CMD/ CIR/P/2020/12 dated January 22,2020, for the half year ended September, 2020.

In this regard, we bring to your kind attention that the provision of Regulation 23, read with Regulation 15 (2) providing exemption Criteria of the SEBI (LODR), Regulations, 2015, IS NOT APPLICABLE to our Company since the Paid-Up Share Capital of the Company neither exceeds Rupees Ten Crore nor the Net Worth exceeds Rupees Twenty-five Crores, as on the last day of the previous Financial year as evident from the Audited Balance Sheet as at 31.03.2020.

In view of the above, the Company is eligible to claim the exemption as granted under Regulation 15(2) of SEBI (LODR) Regulations, 2015 and do claim the same. Hence, we request you to kindly withdraw the email dated 18.01.2021 and oblige.
