Sub : Non Applicability of Regulation 23(9) of SEBI (LODR), REGULATIONS, 2015.

Pursuant to Regulation 23(9) of SEBI (LODR), Regulations, 2015, (“the Regulation”), wherein the listed entity is required to submit a disclosure on Related Party transactions to the Stock Exchange within 30 days from the date of publication of its standalone and consolidated financial results for the half year.

In context to the above, the Company is availing the exemption provided under Regulation 15 of the said Regulation, the paid-up share capital of the Company is Rs. 2,87,74,420/- (Two Crore Eight Seven Lakh Seventy Four Thousand Four Hundred and Twenty only) and the Net Worth is Rs. 7.79 Crores (Rupees Seven crore seventy-nine lakh only), which does not exceed the prescribed limit of Rs. 10 Crores and Rs 25 Crores, respectively, as on the last day of the financial year 31[st] March, 2021.

Further, as and when the above stated regulations becoming applicable to the Company, the same shall be complied within stipulated time.
