Item 2.02 Results of Operations and Financial Condition

On March 1, 2016, American Vanguard Corporation (“Registrant”) issued a press release announcing its financial results for the fourth quarter and fiscal year ended December 31, 2015. The full text of that press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
