Item 8.01 Other Events

As reported in a press release dated December 12, 2016, the Board of Directors of American Vanguard Corporation, declared a cash dividend on December 8, 2016 in the amount of one cent ($0.01) per share of the company’s common stock to be distributed on January 6, 2017 to shareholders of record as of December 23, 2016.
