Item 8.01 Other Events

As reported in a press release dated April 6, 2015, American Vanguard Corporation announced that its international subsidiary, AMVAC Netherlands B.V., had acquired the Nemacur nematicide product line in Europe from Adama Agricultural Solutions Ltd. Financial terms of the acquisition were not disclosed.

The full text of that press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
