Item 8.01 Other Events.

On October 12, 2005, American Vanguard Corporation issued a press release announcing that it will issue its financial results for the third quarter and nine months ended September 30, 2005 on Monday, November 7, 2005. The release also reported that Hurricanes Katrina and Rita did not have a material impact on the Company’s business operations. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
