On December 20, 2005, American Vanguard Corporation issued a press release announcing the acquisition of the cereal herbicide product line, Difenzoquat, by its wholly-owned operating subsidiary AMVAC Chemical Corporation from BASF Aktiengesellschaft. The full text of that press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
