Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(b) Effective February 29, 2008, Reagan K. Vidal, age 46, Executive Vice President-Managing Director of Capital Markets since February 1, 2007, of American Realty Investors, Inc. (the “Company”) resigned to pursue other opportunities. Mr. Vidal held the same position with Transcontinental Realty Investors, Inc. (“TCI”) and Income Opportunity Realty Investors, Inc. (“IOT”), and he has resigned from those entities effective February 29, 2008.
